SweetnFresh Bakery Partner Terms

These Bakery Partner Terms (“Terms”) govern access to and use of the SweetnFresh bakery portal, bakery app, and bakery dashboard by any bakery, pastry shop, cake shop, or other vendor partner (“Vendor,” “you,” or “your”). These Terms form a binding agreement between you and SweetnFresh Inc. (“SweetnFresh,” “we,” “us,” or “our”).

By creating a vendor account, logging in, accessing the bakery dashboard, uploading content, or otherwise using the SweetnFresh vendor platform, you agree to be bound by these Terms.

1. Vendor Relationship

SweetnFresh operates an online marketplace that connects customers with independent bakery partners. You acknowledge and agree that you are an independent business and not an employee, agent, joint venturer, franchisee, or legal representative of SweetnFresh.

You are solely responsible for your business operations, products, pricing, taxes, licenses, regulatory compliance, and all content you upload or provide through the SweetnFresh platform.

2. Vendor Content

For the purposes of these Terms, “Content” includes all menus, product descriptions, item names, prices, images, photographs, graphics, logos, business names, trademarks, text, promotions, and other materials that you upload, submit, publish, transmit, or otherwise provide to SweetnFresh.

You are solely responsible for all Content associated with your vendor account.

3. Ownership, Rights, and Warranties

You represent and warrant that:

  1. you own all rights, title, and interest in the Content, or have obtained all necessary permissions, licenses, consents, and authorizations to use and authorize SweetnFresh to use the Content;

  2. the Content does not infringe, misappropriate, or violate any copyright, trademark, moral right, privacy right, publicity right, or other intellectual property or proprietary right of any third party;

  3. the Content is accurate and not false, misleading, deceptive, or unlawful;

  4. you have the legal authority to enter into these Terms and to bind the business you represent.

You must not upload or use any image or material taken from Google search results, social media, another website, stock image site, blog, or third party source unless you have a valid commercial right or license to use it for this purpose.

4. License Granted to SweetnFresh

You grant SweetnFresh a non-exclusive, worldwide, royalty-free, sublicensable license during the term of your use of the platform to host, store, reproduce, display, publish, distribute, modify for formatting purposes, and otherwise use your Content for the operation, promotion, support, and improvement of the SweetnFresh marketplace, including the website, mobile experiences, marketing materials, customer communications, and related business operations.

This license is limited to the purposes of operating and promoting the SweetnFresh marketplace and your listings on it.

5. Right to Review, Remove, or Disable Content

SweetnFresh may, at any time and at its sole discretion, review, refuse, remove, disable, suspend, or modify any Content, listing, or account if we believe that:

SweetnFresh is not required to provide advance notice before taking such action.

6. Intellectual Property Complaints and Repeat Infringement

If SweetnFresh receives a complaint or notice alleging that your Content violates a third party’s intellectual property rights, we may remove or disable the Content while the matter is reviewed.

You agree to cooperate promptly and fully with any inquiry relating to such a complaint, including by providing proof of ownership or license upon request.

SweetnFresh may suspend or permanently terminate the accounts of Vendors who repeatedly upload or submit Content that infringes or appears to infringe third-party rights.

7. Indemnity

You agree to indemnify, defend, and hold harmless SweetnFresh Inc. and its directors, officers, employees, contractors, affiliates, agents, successors, and assigns from and against any and all claims, demands, actions, proceedings, damages, losses, liabilities, judgments, settlements, penalties, fines, costs, and expenses, including reasonable legal fees and disbursements, arising out of or relating to:

  1. your Content;

  2. any allegation that your Content infringes, misappropriates, or violates any third-party right;

  3. your breach of these Terms;

  4. your use of the vendor platform;

  5. your products, services, promotions, pricing, labeling, or other business activities.

This indemnity includes claims and costs arising before or after suspension or termination of your account.

8. Limitation of Liability

To the maximum extent permitted by law, SweetnFresh will not be liable to you for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business, goodwill, reputation, data, or anticipated savings arising out of or relating to these Terms, the platform, the removal of Content, suspension of listings, or termination of your account, even if SweetnFresh has been advised of the possibility of such damages.

To the maximum extent permitted by law, SweetnFresh’s total aggregate liability to you arising out of or relating to these Terms or the vendor platform will not exceed the total fees, if any, paid by you to SweetnFresh in the three months preceding the event giving rise to the claim, or CAD $100, whichever is greater.

9. No Monitoring Obligation

SweetnFresh may, but is not obligated to, monitor vendor Content, verify ownership of uploaded materials, or pre-screen listings. The fact that Content appears on the platform does not mean that SweetnFresh has reviewed, approved, or verified it.

10. Suspension and Termination

SweetnFresh may suspend, restrict, or terminate your access to the vendor platform at any time, with or without notice, if:

Upon termination, SweetnFresh may remove your Content and deactivate your listings.

11. Survival

Any provisions of these Terms that by their nature should survive termination will survive, including sections relating to representations and warranties, indemnity, limitation of liability, governing law, dispute-related obligations, and any accrued rights or remedies.

12. Updates to These Terms

SweetnFresh may update these Terms from time to time. Updated Terms become effective when posted or when otherwise communicated to you. Where required by us, continued use of the vendor platform after an update will require your renewed acceptance.

13. Governing Law

These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of law principles.
